Paddli Host Agreement

Please read this Host Agreement carefully before listing a field or accepting bookings through the Paddli platform.
1. About this Agreement
This Host Agreement ("Agreement") is between:
Paddli Ltd of 20-22 Wenlock Road, London, N1 7GU ("Paddli", "we", "us", "our")
and
the individual or entity accepting this Agreement as a host ("Host", "you", "your").
This Agreement governs your use of the Paddli platform as a Host, including your listing of fields, receipt of bookings, use of payment services integrated with the platform, and payment of any fees or commissions due to Paddli.
By creating a Host account, listing a field, or accepting bookings through the platform, you agree to be bound by this Agreement.
2. Relationship Between the Parties
Paddli provides a software platform that enables Hosts to advertise available fields, accept bookings, and receive payments from Customers.
Paddli does not own, lease, occupy, manage, control, or operate your field.
You acknowledge and agree that:
- you, and not Paddli, are the supplier of the booked field-use service to the Customer;
- any booking accepted through the platform is a contract between you and the relevant Customer;
- Paddli is not a party to that booking contract and does not act as your agent unless expressly stated otherwise in writing; and
- Paddli provides payment facilitation, platform functionality, and related services only.
3. Eligibility and Authority
You represent and warrant that:
- you are at least 18 years old;
- you have full authority to enter into this Agreement;
- if you are acting for a company, partnership, trust, charity, or other entity, you have authority to bind that entity;
- you have the legal right to list, licence, and accept bookings for each field you make available through Paddli; and
- your use of the platform will comply with all applicable laws, regulations, planning restrictions, land-use requirements, and contractual obligations affecting the field.
4. Your Field Listings
You may create listings for fields made available for booking through the platform.
You are solely responsible for each listing you publish, including all descriptions, photos, prices, availability, access instructions, rules, restrictions, and other content relating to the field.
You must ensure that each listing is accurate, complete, and not misleading.
You must promptly update your listing if any information becomes inaccurate, incomplete, or misleading.
Paddli may remove, suspend, reject, edit, moderate, or require changes to any listing at any time if we reasonably believe it breaches this Agreement, creates legal or operational risk, or may harm users or the platform.
5. Your Responsibilities as a Host
You are solely responsible for:
- the safety, condition, maintenance, and suitability of your field;
- ensuring the field is lawfully made available for bookings;
- ensuring any fences, gates, surfaces, hazards, livestock separation, access routes, and other physical conditions are as described and reasonably safe for the intended use you permit;
- complying with all applicable laws, regulations, licences, permits, planning requirements, health and safety obligations, and tax obligations;
- setting and enforcing your field rules;
- providing the booked access or service to Customers in accordance with your listing and applicable booking terms; and
- handling complaints, incidents, and claims relating to your field or any booking, except to the extent Paddli expressly agrees to assist.
Paddli does not inspect, verify, certify, monitor, or guarantee any field, listing, rule set, or access arrangement.
6. Insurance
You must maintain appropriate insurance for the field and its use through the platform, including any public liability insurance or other cover that is appropriate for the nature of the field and the activities you permit.
You are responsible for determining the types and levels of insurance required for your circumstances.
At Paddli's request, you must promptly provide reasonable evidence of your insurance arrangements.
7. Booking Terms and Field Rules
You are responsible for ensuring that the booking terms, cancellation terms, access rules, and field rules applicable to your listing are accurate, lawful, fair, and clearly communicated through the platform.
You must not impose terms that conflict with this Agreement, the Paddli Platform Terms, applicable law, or the core checkout and booking flow made available by Paddli.
You acknowledge that UK consumer protection law requires certain pre-contract information to be provided clearly before a consumer is bound by an online contract, including information about the trader, the service, price, payment, and cancellation arrangements. (Legislation.gov.uk)
8. Bookings
When a Customer places a booking through the platform and that booking is confirmed, a contract is formed between you and the Customer.
You are solely responsible for fulfilling confirmed bookings unless cancellation is permitted under your terms or required by law.
You must not encourage or require Customers to complete bookings or payments outside the platform where the booking originated through Paddli, unless Paddli has expressly permitted this in writing.
9. Payments, Stripe, and Fees
Paddli may integrate with third-party payment providers, including Stripe Connect, to facilitate payments between Customers and Hosts.
You must maintain any payment account, connected account, onboarding status, and verification information required by Paddli or the relevant payment provider.
You authorise Paddli to:
- facilitate direct charges to Customers through your connected payment account;
- collect, deduct, and retain any platform fees, commissions, service fees, or other amounts due to Paddli;
- issue, process, or assist with refunds, reversals, payment adjustments, and chargeback-related actions where reasonably necessary to operate the platform or comply with payment-provider requirements; and
- offset or recover any amounts owed by you to Paddli from future payouts or otherwise recover them from you directly.
Stripe's guidance for direct charges states that the connected account is the merchant of record and that direct charges allow connected accounts to handle their own refunds and disputes. Stripe also notes that refunds, disputes, and other negative transactions can create negative balances and risk that may still affect the platform depending on the account setup. (Stripe Docs)
10. Commission and Other Amounts Due to Paddli
You agree to pay Paddli the commission, service fee, subscription fee, and any other charges notified to you through the platform, pricing page, onboarding flow, dashboard, or other written notice.
Unless stated otherwise, Paddli may deduct those amounts automatically from sums otherwise payable to you.
You are responsible for your own taxes, duties, VAT obligations, and reporting obligations arising from your use of the platform or your supply of services to Customers.
11. Refunds, Disputes, Chargebacks, and Negative Balances
You are responsible for all refunds, partial refunds, reversals, chargebacks, disputes, card-scheme claims, payment failures, fraudulent transaction losses attributable to your listings or bookings, and any associated losses, penalties, or fees, except to the extent caused solely by Paddli's own breach of this Agreement.
If Paddli pays, advances, covers, or becomes liable for any amount that is your responsibility under this Agreement, you must reimburse Paddli on demand.
Paddli may recover such amounts by:
- deducting them from future payouts;
- setting them off against any sums we owe you;
- charging your nominated payment method where permitted; or
- otherwise invoicing and recovering the amounts from you.
You must provide reasonable cooperation and evidence in connection with any dispute, chargeback, refund claim, or payment investigation.
12. Taxes and Reporting
You are solely responsible for determining, collecting, remitting, and reporting any taxes applicable to your listings, bookings, income, or business activities, except where applicable law requires otherwise.
You must provide any information reasonably requested by Paddli to comply with legal, tax, reporting, anti-fraud, anti-money laundering, or platform-operator obligations.
UK digital platform operators may be required to collect seller information and report seller income details to HMRC under the reporting rules for digital platforms. HMRC guidance states that UK digital platform operators may need to register, collect information from sellers, and submit reports by 31 January for the previous calendar year. (GOV.UK)
13. Prohibited Conduct
You must not:
- publish misleading, unlawful, or deceptive listings;
- evade platform fees or commissions;
- interfere with or bypass the payment flow, booking flow, fees, or technical restrictions of the platform;
- use the platform in a way that infringes any third-party rights;
- use the platform for any unlawful, harmful, fraudulent, or abusive purpose; or
- do anything that is likely to damage the reputation, operation, or security of Paddli or the platform.
14. Suspension and Removal
Paddli may suspend or terminate your access to the platform, remove or pause listings, delay payouts, or impose account restrictions immediately if we reasonably believe:
- you have breached this Agreement;
- your listing or conduct creates risk to users, payment providers, Paddli, or third parties;
- you have failed to provide required information or verification;
- your account is subject to fraud, excessive disputes, complaints, refunds, or legal concerns; or
- we are required to do so by law, regulation, court order, payment-provider rule, or third-party service requirement.
Where appropriate, we may try to notify you and allow remedial action, but we are not required to do so before taking action.
15. Intellectual Property and Listing Content
You retain ownership of the content you provide to the platform.
You grant Paddli a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, publish, display, distribute, and use your listing content for the operation, promotion, moderation, support, and improvement of the platform and related services.
You represent and warrant that you have all rights needed to provide that content and to grant this licence.
16. Data Protection and Privacy
Each party must comply with applicable data protection laws in relation to any personal data processed in connection with bookings and use of the platform.
Your use of the platform is also subject to Paddli's Privacy Policy.
You must only use Customer personal data for legitimate booking-related purposes and in accordance with applicable law. You must not use personal data obtained through Paddli for unsolicited marketing or any unauthorised purpose.
17. Indemnity
You agree to indemnify and hold harmless Paddli, its officers, directors, employees, affiliates, contractors, and agents against any claims, actions, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses (including reasonable legal fees) arising out of or connected with:
- your field, listing, or booking terms;
- any injury, illness, damage, loss, incident, or claim relating to your field or any booking;
- your breach of this Agreement;
- your breach of law, regulation, or third-party rights;
- your refunds, chargebacks, disputes, tax obligations, or payment failures; or
- your content or conduct on the platform.
18. Limitation of Liability
Nothing in this Agreement excludes or limits liability to the extent such exclusion or limitation is prohibited by law.
Subject to the previous sentence, to the fullest extent permitted by law, Paddli shall not be liable for any indirect, incidental, special, consequential, or punitive loss, or any loss of profit, revenue, business, data, goodwill, opportunity, or anticipated savings.
To the fullest extent permitted by law, Paddli's total aggregate liability arising out of or in connection with this Agreement shall not exceed the total amount of fees actually paid by you to Paddli in the twelve months preceding the event giving rise to the claim.
Paddli is not liable for the acts, omissions, statements, conduct, listings, fields, payment failures, or contractual performance of Customers, Hosts, payment providers, or other third parties.
19. No Partnership or Employment
Nothing in this Agreement creates any partnership, joint venture, employment relationship, franchise, fiduciary relationship, or agency relationship between you and Paddli.
You are an independent business or individual using the platform.
20. Changes to this Agreement
We may update this Agreement from time to time.
Where changes are material, we will make reasonable efforts to notify you before they take effect.
By continuing to use the platform after the effective date of the updated Agreement, you agree to be bound by the revised version.
21. Term and Termination
This Agreement begins when you first accept it or use the platform as a Host and continues until terminated.
You may stop using the platform at any time, but this does not affect accrued rights, existing liabilities, unpaid amounts, or obligations that by their nature continue after termination.
Paddli may terminate this Agreement or suspend your account at any time in accordance with this Agreement.
The following clauses survive termination: 2, 5, 6, 9, 10, 11, 12, 15, 16, 17, 18, 19, 21, 22, 23, and any other clause intended to survive termination.
22. Governing Law and Disputes
This Agreement and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, except where mandatory law provides otherwise.
Before starting formal proceedings, the parties will attempt in good faith to resolve the dispute by contacting the other party.
23. General
If any provision of this Agreement is found invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
No failure or delay by Paddli to exercise any right or remedy shall operate as a waiver of that right or remedy.
This Agreement constitutes the entire agreement between you and Paddli in relation to your use of the platform as a Host and supersedes any prior discussions or agreements on that subject.
